Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and the decentralized digital asset trading platform known as ZEX (“ZEX”, “we”, “us”, or “our”).
By accessing or using the ZEX website, interfaces, applications, APIs, or any related services (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

1. Definitions

  • ZEX: A decentralized trading platform and protocol interface providing access to digital asset trading functionality.
  • Digital Assets: Cryptocurrencies, tokens, stablecoins, Real World Assets (RWA), or other blockchain-based representations of value.
  • Real World Assets (RWA): Digital tokens representing ownership, credit, or interests in physical or traditional assets (such as commodities or financial instruments) managed through blockchain technology.
  • Account: A unique internal identifier associated with a User’s interaction with the ZEX platform, regardless of access method..
  • Wallet Login:Accessing the Services through a connected blockchain wallet.
  • User:Any natural person or legal entity accessing or using the Services.
  • Services:All functionalities made available by ZEX, including trading interfaces, swap tools, APIs, and related features.
  • Content:Any text, data, graphics, software, or materials made available through the Services.
  • Third-Party Services:External wallets, blockchains, smart contracts, protocols, bridges, APIs, or services not controlled by ZEX.
  • Force Majeure:Events beyond reasonable control, including natural disasters, war, regulatory actions, network failures, or blockchain disruptions.

2. Acceptance of Terms

By accessing or using ZEX, you agree to be bound by these Terms and any referenced policies. The English version of these Terms shall prevail in the event of any conflict.

ZEX may modify these Terms at any time. Continued use of the Services constitutes acceptance of the updated Terms.

3. Eligibility & Jurisdiction Restrictions

You represent and warrant that:

  • You are at least 18 years old.
  • You have full legal capacity to enter into these Terms.
  • Your use of the Services does not violate any applicable laws or regulations.
  • You are not using any method, including VPNs or location-masking tools, to circumvent geographic or legal restrictions.
Access to the Services may not be available in all jurisdictions, and Users are solely responsible for ensuring lawful access.

4. Account Creation & Access Methods

ZEX provides access through:
  • Email/password-based access or
  • Wallet-based access.
Regardless of access method:
  • A unique internal Account identifier may be generated.
  • Users interact with the Services through the ZEX protocol interfaces.
  • Users are not trading directly from personal wallets, and interactions are mediated by protocol logic.
ZEX does not restrict users from creating or operating multiple Accounts.
However, ZEX may apply interface-level controls, limitations, or restrictions on access to its user interfaces or features in response to abusive, manipulative, or prohibited activities, in accordance with these Terms.

5. Platform Role & Decentralized Disclaimer

ZEX is a decentralized trading infrastructure and protocol interface.
ZEX:
  • Provides open and permissionless trading interfaces
  • Facilitates order-matching and execution logic through software and distributed systems.
ZEX does not:
  • Act as a broker, custodian, fiduciary, or investment advisor
  • Hold, custody, or control user funds
  • Have unilateral ability to freeze, seize, or transfer Digital Assets
  • Act as a counterparty to any transaction.
All interactions occur at the User’s own risk.

6. Description of Services

Services may include:
  • Spot Trading interfaces
  • Swap / Convert functionality
  • Protocol-level trading tools
  • Market data and APIs
ZEX provides access to decentralized and distributed trading protocols through user-facing interfaces.
ZEX does not operate or control the underlying decentralized protocols themselves and does not guarantee the availability, continuity, or performance of any user interface, website, application, or front-end component.
ZEX may modify, upgrade, restrict, or discontinue access to any interface, feature, or presentation layer at any time, without affecting the ongoing operation of the underlying decentralized protocol.

7. Trading Rules & Order Finality

All orders submitted through the Services constitute binding instructions.
Once matched or executed, transactions are final and irreversible.

ZEX may, where technically feasible:

  • Correct manifest system errors
  • Address abnormal or clearly erroneous trades resulting from technical faults

8. Fees & Taxes

Users are responsible for all applicable:
  • Trading fees
  • Network or protocol fees
  • Third-party costs
Fee structures may change over time.
Users are solely responsible for determining and paying any taxes arising from their activities.

9. Third-Party Services & Integrations

ZEX may utilize certain third-party infrastructure, software components, or service providers as part of delivering its interfaces and operational functionality.

ZEX remains responsible for the reasonable selection and management of such third-party service providers where they are used as part of the ZEX interface or platform operations.

Separately, third parties may independently access or interact with ZEX protocols, APIs, or interfaces.
In such cases:
  • ZEX does not control, endorse, or assume responsibility for third-party applications, services, or integrations.
  • Users who interact with third-party services that connect to or build on ZEX do so at their own discretion and risk.
  • Any disputes, losses, or issues arising from third-party integrations shall be resolved directly between the user and the relevant third party.
ZEX does not guarantee the availability, security, accuracy, or performance of services provided independently by third parties.

10. User Obligations & Prohibited Use

Users must not:
  • Engage in market manipulation, wash trading, or abusive practices
  • Exploit bugs, vulnerabilities, or protocol weaknesses
  • Interfere with APIs or infrastructure
  • Use the Services for unlawful purposes
  • Deploy automated systems or bots without authorization

11. Risk Disclosure

You acknowledge that:
  • Digital Assets are highly volatile and speculative
  • You may lose part or all of your funds
  • Blockchain systems and smart contracts may fail or behave unexpectedly
  • Transactions are irreversible
  • Regulatory environments may change
You interact with the platform entirely at your own risk.

12. Disclaimers

The Services are provided “AS IS” and “AS AVAILABLE”.
ZEX disclaims all warranties, express or implied, including warranties of:
  • Merchantability
  • Fitness for a particular purpose
  • Accuracy
  • Uptime or availability
ZEX does not guarantee profits or loss prevention.

13. Limitation of Liability

To the maximum extent permitted by law, ZEX shall not be liable for:
  • Indirect, incidental, or consequential damages
  • Loss of profits or data
  • Market losses
  • Force Majeure events

14. Indemnification

You agree to indemnify and hold harmless ZEX from any claims arising out of:
  • Your breach of these Terms
  • Your violation of applicable laws
  • Your use of the Services

15. Modification or Suspension of Interfaces

ZEX does not actively manage user accounts.
However, ZEX may modify, suspend, or disable access to interfaces or features due to:
  • Technical reasons
  • Security considerations
  • Legal or regulatory requirements

16. Data & Privacy

Any data collected through the Services is handled in accordance with the ZEX Privacy Policy.

17. AML, Sanctions & Compliance

Users are solely responsible for ensuring compliance with applicable AML, sanctions, and financial regulations.
ZEX may cooperate with lawful requests from authorities where technically feasible.

18. Intellectual Property

All intellectual property rights related to the ZEX interface, brand, design, software code, documentation, and proprietary materials (collectively, the “ZEX Interface”) are owned by ZEX or its licensors.

Subject to these Terms, users are granted a limited, non-exclusive, non-transferable license to access and use the ZEX Interface for personal, non-commercial purposes.

This license applies solely to ZEX-controlled interfaces and presentation layers and does not restrict access to or use of any underlying decentralized protocols, distributed systems, or on-chain components.

ZEX may suspend or revoke access to its interfaces or frontend services in cases of misuse, abuse, or violation of these Terms, without affecting protocol-level access through independent or third-party interfaces.

Users may not copy, modify, scrape, reverse engineer, reproduce, or commercially exploit any part of the ZEX Interface without prior written consent.

19. Modification of Terms

ZEX may update these Terms at any time.
Continued use of the Services constitutes acceptance of the updated Terms.

20. Governing Law & Dispute Resolution

These Terms shall be governed by applicable law as determined by competent legal authority.
Any dispute shall be resolved through binding arbitration, and Users waive the right to participate in class actions.

21. Miscellaneous

Force Majeure

ZEX shall not be liable for any failure or delay resulting from events beyond its reasonable control.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms constitute the entire agreement between you and ZEX regarding the use of the Services.

Assignment

You may not assign or transfer these Terms without prior written consent. ZEX may assign these Terms in connection with a merger, restructuring, protocol transition, or similar event.
